Business Owners—Get ready to File Your Annual Registration

If you own a business, be it a corporation or LLC, you are required to file an annual registration with the state of Georgia, as well as a $50 fee. While the deadline for the 2022 registration isn't until April 1st, 2022, you can file as early as January 1st.  We recommend getting this important task done as soon as possible rather than waiting. April 1st seems like a lifetime away right now, but those months are sure to fly by—don't find yourself scrambling to file your paper work on March 31st to avoid late fees.

What is required in the annual registration?

Your LLC or corporation's annual registration in essence a current record of the entity's information. The requirements are as follows…

Corporations:

  • Control number or name of the corporation
  • Name of the person filing the annual registration
  • A valid email address
  • Name and address of the registered agent (this must be a physical street address in Georgia where an individual can be reached in person on behalf of the company)
  • Mailing address of the principal office
  • Name and address of the three principal officers: President/CEO, CFO/Treasurer and Secretary.

LLCs:

  • Control number or name of the LLC
  • Name of the person filing the annual registration
  • A valid email address
  • Name and address of the registered agent (this must be a physical street address in Georgia where an individual can be reached in person on behalf of the company)
  • Mailing address of the principal office

Along with this information, you will have to pay a $50 fee at the time of your registration. Remember, this fee is nonrefundable, so be careful when filing your registration. If you make a mistake and have to file again, you will have to pay the fee again.

Business entities who fail to file an accurate annual registration by the April 1st deadline could face fines, dissolution, or revocation of their authorization to conduct business in the state of Georgia.
